Terms of Sale

These terms apply to every contract for the sale of goods by Strive AV Limited, trading as TopAV, to a buyer, and take precedence over any terms in a buyer's own purchase order. Accepting delivery of goods constitutes agreement to these terms. Nothing here affects a consumer's statutory rights.

Price and payment

Payment is required in advance unless a credit account has been agreed, in which case invoices are due within 30 days. Overdue invoices accrue interest at 2% per annum above the Bank of England base rate. We may require advance payment, refuse delivery, or terminate a contract if payment is in default.

Delivery

Delivery dates are estimates and are not guaranteed; delays don't entitle a buyer to damages or cancellation. If delivery is refused, we may charge for storage. Orders delivered in instalments are treated as separate contracts. Buyers must accept delivery within 3 months of the original date.

Risk and title

Risk passes to the buyer on delivery (or when we notify the goods are ready). Ownership stays with us until payment is received in full — until then, the buyer must store goods separately, insured, and cannot pledge them as security, though they may resell before ownership transfers, accounting to us for the proceeds.

Acceptance

Buyers must inspect goods on delivery and report any defects within 14 days, after which acceptance is assumed. Deliveries with a quantity within 5% of the order must be accepted, with the price adjusted proportionally.

Warranty and liability

Defective goods are replaced free of charge within the manufacturer's warranty period, provided the buyer notifies us immediately. Third-party manufacturer warranties are passed through to the buyer. Our liability for defective goods is limited to replacement or refund.

Force majeure

We are not liable for delays or failures caused by events beyond our control, such as natural disasters, strikes or supply shortages, and may terminate without liability if such delays become unreasonable.

Governing law

This agreement is governed by English law, and disputes are subject to the exclusive jurisdiction of the English courts.
